Republic of Rwanda of 04 June 2003, as
amended to date, especially in Articles
120, 121 and 201;
Pursuant to Law n o
07/2009 of 27 th

2009 relating to companies in its article 20;
After consideration and approval by the
Cabinet in its session of 06/05/2009;
HEREBY ORDERS:

Article 2: Maximum amount
A company shall be called a small private
limited company when, during the
previous business year, it had a turnover
which is less than one hundred fifty
million Rwandan francs (Rwf
150,000,000)
Article 3: Repealing of inconsistent
provisions
All previous provisions contrary to this
Order are hereby repealed.
Article 4: Commencement
This Order shall come into force on the
date of its publication in the Official
Gazette of the Republic of Rwanda.

Article 3: Disposition abrogatoire
Toutes les dispositions antérieures
contraires au présent arrêté sont abrogées.
Article 4 : Entrée en vigueur
Le présent arrêté entre en vigueur le jour
de sa publication au Journal officiel de la
République du Rwanda

Article 2: Definition of a business
activity
In this Order, a business activity shall
mean any business activity carried out by
any individual regardless of sex and
registered as provided for by this Order. It
shall include purchase and sale, service
delivery or any other professional activity
done on a regular basis in order to gain
profit.
Article 3: Capacity of doing business
Any person who is at least 16 years old,
who has registered his/her business activity
and who has a registration certificate
according to this Order shall be entitled to
conduct business activities on the territory
of the Republic of Rwanda.
Under the majority age, he/she shall
perform all business activities including
filing suits in courts through his/her legal
guardian.

professionnelle exercée en vue du
bénéfice.
Article 3: Capacité d’exercer une
activité commerciale
Toute personne âgée de 16 ans au moins,
ayant fait enregistré son activité
commerciale et ayant un certificat
d’enregistrement selon les dispositions du
présent arrêté est jugée capable d’exercer
des activités commerciales sur le territoire
de la République du Rwanda.
Elle est en droit d’effectuer toutes les
activités avant l’âge de la majorité, y
compris celle de saisir les juridictions par
le biais de son tuteur.

Igitabo cy’ubucuruzi
gikubiyemo urutonde rugaragaza ku buryo

a) - Itariki na nimero y’iyandikisha ry’igikorwa cy’ubucuruzi;
Article 4: Registration in the register of
trade
Every trader concerned by this Order must
be registered in the register of trade and get
a certificate of registration from the Office
of the Registrar General.
Such registration shall take place at the
head office of the Registrar General and
other branch offices.
CHAPTER II: STRUCTURE OF THE
REGISTER OF TRADE
Article 5: Use of the register of trade
A register of trade is a register in which
business activities are recorded and kept by
the Registrar General or his/her
representative.
Article 6: Content of the register of
trade
The register of trade shall contain data in
the following order:
a) - The date and number of registration of
the business activity;

Registraire Général.

REGISTRE DE COMMERCE
Article 5: Utilisation du registre de
commerce
Un registre de commerce est celui dans
lequel sont enregistrées des activités
commerciales et qui est tenu par le
Registraire Général ou son représentant.
Article 6: Contenu du registre de
commerce
Le registre de commerce mentionne les
données dans l’ordre suivant:
a) - Date et numéro d’enregistrement de l’activité commerciale;

The Registrar General shall set up a
model of a register of trade in which shall
be recorded data on business activities.
CHAPITER III: REGISTRATION
AND APPLICATION FOR
REGISTRATION IN REGISTER OF
TRADE
Article 7: Application for registration in
register of trade
The application for registration in register
of trade shall be made by filling in two
printed forms prepared by the Office of the
Registrar General or by filling them in
electronically.

d’enregistrement;
f) g) - Raison sociale si disponible; h) i) - Catégorie d’activité commerciale.
Le Registraire Général met en place un
modèle du registre de commerce dans
lequel sont inscrites les activités
commerciales.

D’ENREGISTREMENT AU
REGISTRE DE COMMERCE
Article 7: Demande d’enregistrement au
registre de commerce
La demande d’enregistrement au registre
de commerce est adressée en remplissant
les deux formulaires prévus imprimés
préparés par l’Office du Registraire
Général ou par voie électronique.

The application forms for business
registration shall be filled in and signed by
the applicant.
One form shall be kept by the Registrar
General or his/her representative whereas
the other shall be given to the applicant.
Article 8: Content of the application
letter
The application letter must contain:
a)

d) - Date and the place of birth ;
e) - Place of residence and domicile;
f) - Nationality of the applicant ;
g) - Business name ;
h) - Business activities.
Article 9: Documents accompanying the
application of registration in the register
of trade
In confirmation of data submitted for
registration purposes, the applicant must
submit the following documents:
a) - Copy of the national identity card;
b) - Payment evidence of required
c) registration fees for the relevant

Article 8: Contenu d’une demande
d’enregistrement
La demande d’enregistrement doit
contenir:
a) - Noms du demandeur
b) - Date et lieu de naissance
c) - Lieu de résidence et domicile;
d) - Nationalité du demandeur ;
e) - Raison sociale ;
f) - Activité commerciale;
Article 9 : Documents accompagnant la
demande d’enregistrement au registre
de commerce.
Conformément aux données soumises pour
l’enregistrement, le demandeur
d’enregistrement doit soumettre les pièces
suivantes:
a) - Photocopie de la carte d’identité ;
b) - Le bordereau de versement des frais

Article 10: Registration certificate
) Registration certificate shall mention the
following:
- -Registration number of the business activity;
b) - Names of the registered person ;
c) - Business name, name of the business
d) activity and name of the trader;
e) - Brief and precise description of the
registered business activity ;
f) - The company head office and the place of
business;
g) - The date on which the registration
certificate was issued ;
h) - Signature and stamp of the Registrar
General or his/her representatives ;
- Category of the commercial activity.
Article 11: Display of the registration
certificate
The registration certificate or a copy
bearing the signature of the Registrar
General has to be displayed in a visible
manner at the place of the business
activity;

Article 11 : Affichage du certificat
d’enregistrement
Le certificat d’enregistrement ou sa copie
contenant la signature du Registraire
Général doit être affiché(e) dans un endroit
visible au siège de l’exploitation
commerciale.

Iyo umucuruzi wanditse apfuye,

gusaba ko iyandikwa rye mu gitabo
cy’ubucuruzi risibwa cyangwa se ko
rihindurwa mu gihe biyemeje gukomeza

Ingingo ya 14 : Imikorere y’ibiro

Umwanditsi Mukuru ashobora guha, mu
nyandiko abamuhagarariye haba mu biro

kwakira iyandikisha no gusinya mu izina
rye.
Article 12: Obstacles to registration in
the register of trade
Any person who is under 16 of age as well
as other people who are not authorized
shall not be entitled to registration in the
register of trade.
Article 13: Removal from register
Every registered trader shall, within one
month after suspension of business
activity, request the removal of such
activity from the register of trade.
In case of death of the trader, the heirs
shall, within three months from the date of
death, request the removal of his/her
names from the register or change names if
they decide to continue the activity.
Article 14: Functioning of the Office of
Registrar General
The Registrar General may delegate, in a
written form, to his/her representatives
either at the head office or elsewhere, the
power of receiving applications and sign
them in his/her name.
Article 12 : Obstacles à l’enregistrement

Toute personne âgée de moins de 16 ans et
d’autres personnes privées de ce droit par
la loi n’ont pas droit d’être enregistrées au
registre de commerce.
Article 13 : Radiation du registre de
commerce
Tout commerçant inscrit doit, endéans un
mois après la suspension de son activité
commerciale, demander la radiation du
registre de cette activité.
Si un commerçant inscrit décède, ses
héritiers doivent, endéans trois mois à
partir de la date de décès, demander la
radiation de son nom du registre de
commerce ou le changement de nom au
cas où ils s’engagent à poursuivre son
activité commerciale.
Article 14 : Fonctionnement de l’Office
du Registraire Général
Le Registraire Général peut déléguer, par
écrit, à ses représentants soit au siège de
l’Office ou ailleurs, la pouvoir de recevoir
les demandes et de signer en son nom.

cy’ubucuruzi byujuje ibisabwa n’iri teka,
Umwanditsi Mukuru cyangwa
abamuhagarariye bagomba, mu gihe
kitarenze iminsi itanu (5) y’akazi uhereye
ku munsi gusaba kwandikwa byakiriwe mu
Ibiro by’Umwanditsi Mukuru, guha
uwasabye inimero y’iyandikisha hamwe
n’icyemezo cy’iyandikwa. Iyo iminsi itanu
(5) irenze nta gisubizo icyo gihe bifatwa
ko iyandikisha ryemewe.
Iyo basanze hari impamvu ituma
atagihabwa, Umwanditsi Mukuru
abimumenyesha mu nyandiko mu gihe
kitarenze iminsi itanu, y’akazi kandi
akavuga n’impamvu.

Article 15: Grounds for rejecting
applications for registration
The Registrar General or his/her
representatives at the district level can
reject the registration of a business activity
under a company name contrary to morals
and for reasons of public order observed in
Rwanda.
In case the registration application in the
register of trade does meet all criteria set
by this Order, the Registrar General or
his/her representatives must, within five
working days from the day of receipt of the
application, give to the applicant the
registration number as well as the
certificate of registration. If the period of
five days expires without any reply, the
application shall be deemed approved.
If there is any reason to reject the
application, the Registrar General shall
notify him/her in writing within five
working days and give motives.
If the applicant is not satisfied with the
decision of the Registrar General’s
representatives, he/she can appeal before
Article 15 : Raisons de rejet de demande

commerciale sous un nom commercial
contraire aux bonnes mœurs et pour des
raisons d’ordre public observées au
Rwanda.
Au cas où la demande d’enregistrement au
registre de commerce remplit les critères
exigés par le présent arrêté, le Registraire
Général ou ses représentants doivent,
endéans cinq jours ouvrables dès réception
du dossier de demande, donner au
demandeur un numéro d’enregistrement
ainsi qu’un certificat d’enregistrement.
Passé ce délai de cinq jours sans suite, la
demande est considérée comme acceptée.
En cas de constat d’un motif qui conduit au
refus de la demande, le Registraire Général
informe le demandeur par écrit endéans
cinq jours ouvrables en donnant les motifs.
Si le demandeur n’est pas satisfait de la
décision prise contre lui par les
représentants du Registraire Général, il

Amafaranga atangwa mu gihe
cy’iyandikisha cyangwa mu gihe cyo
kwandikisha inyandiko z’inyongera mu
gitabo cy’ubucuruzi angana n’amafaranga
2,000 frw.
UMUTWE WA IV: IBIHANO
Ingingo ya 18: Ibyaha n’ibihano
biteganywa n’iri Teka.
Urutonde rw’ibivugwa muri iyi ngingo ni
ibyaha bihanwa n’iri teka kandi bicirirwa
the Registrar General within 15 working
days. If the decision has been taken by the
Registrar General, the applicant can file an
appeal before a court in a period within 15
working days.
Article 16: Prohibition to be registered
under many numbers or under an
existing business name.
No one shall be authorized to be registered
under many different numbers or under a
business name which looks like another
name already registered.
Article 17: Fees to be paid for
registration
The fees to be paid for registration or
registration of additional documents in the
register of trade shall be of Rwf 2,000.
CHAPTER IV: PENALTIES
Article18: Offences and penalties
provided for by this Order
The list enumerated in this article contains
offences punished by this Order as follows:

l’enregistrement
Les frais à payer lors de l’enregistrement
ou lors de l’enregistrement de documents
supplémentaires au registre de commerce
sont de 2.000Frw.
CHAPITRE IV : PENALITES
Article 18 : Infractions et pénalités
prévues par le présent arrêté
La liste mentionnée sous cet article fait état
d’infractions punies par cet arrêté et

) - Regularly practice of a business activity
which is not registered, shall be punished
with a fine ranging from Rwf 10,000 up to
Rwf 50,000 ;
b) - False declaration of data to be recorded in
the register of trade or a declaration which
is inconsistent with the conducted activity
shall be punished with a fine ranging from
Rwf 10,000 up to Rwf 50,000 according to
the kind of business activity being carried
out contrary to what is provided for by this
Order;
c) – Failing to exhibit the registration
d) certificate every time it is so requested by
competent authorities shall lead to a fine
ranging from Rwf 5,000 up to Rwf 10,000.
These offenses shall be investigated and
proved by the Registrar General or his/her
representatives.
The staff of the office of Registrar General
or the representative of Registrar General
who observed the offense shall report it in
writing and give a copy to the trader in

c) – Le fait de ne pas exhiber le certificat
d) d’enregistrement chaque fois qu’il est
demandé par l’autorité compétente est
passible d’une amende allant de 5.000 Frw
à 10.000 Frw.
Ces différentes infractions sont instruites et
prouvées par le Registraire Général ou ses
représentants.
L’infraction fait objet d’un rapport élaboré
par un agent de l‘Office du Registraire
Général ou son représentant qui l’a
constatée. Le commerçant coupable ou son
tuteur en reçoit une copie et la signe pour

default or his/her legal guardian who shall
sign it acknowledging receipt.
The condemned trader shall be entitled to
appeal with evidence of his/her innocence
within five working days starting from the
date of reception of report of offense
showing his/her guilt.
Fines stated in this Order must be paid
within 30 working days counted from the
date of issuing reports showing the
offence. In the event of delay of payment,
the accused trader shall lose his/her
registration certificate followed by the
deletion from the register of trade in case
of his/her persistence.
CHAPTER V: TRANSITIONAL AND
FINAL PROVISIONS
Article 19: Compliance with the Law
relating to companies in Rwanda
Any person concerned by this Order who
will start earning above ten thousand
Rwandan francs (10,000 Rwf) per day
shall have to immediately get registered
according to the law relating to companies

Le commerçant condamné peut interjeter
appel avec preuve de son innocence,
endéans cinq jours ouvrables dès la
réception du compte rendu lui
reconnaissant coupable.
Les amendes évoquées au présent arrêté
doivent être payées endéans 30 jours
ouvrables comptés à partir de la date de
rédaction du rapport prouvant sa
culpabilité. En cas de non paiement de ces
amendes à temps le certificat
d’enregistrement de ce commerçant
coupable lui sera confisqué et en cas de
persistance il sera radié du registre de
commerce.
CHAPITRE V : DISPOSITIONS
TRANSITOIRES ET FINALES
Article 19 : Observation de la loi relative
aux sociétés commerciales au Rwanda
Toute personne concernée par le présent
arrêté qui aura plus de dix mille francs
rwandais (10.000 Frw) par jour doit
immédiatement se faire enregistrer selon la
loi relative aux sociétés commerciales au

The Minister of Trade and Industry;
Pursuant to the Constitution of the
Republic of Rwanda of 04 June 2003, as
amended to date, especially in Articles
120, 121 and 201;
Pursuant to Law n o
07/2009 of 27 th
April
2009 relating to companies in its article
374;
After consideration and approval by the
Cabinet in its session of 06/05/2009;
HEREBY ORDERS:
Article One: Purpose of this Order
This Order determines fees for registration
of companies’ business activities

à ce jour, spécialement en ses articles 120,
121 et 201;
Vu la loi n° 07/2009 du 27/04/2009
relative aux sociétés commerciales dans
son article 374 ;
Après examen et adoption par le Conseil
des Ministres en sa séance du 06/05/2009;
ARRETE:

Article 2 : Activities to be paid for and
fees
Fees for registration of companies’
business activities are provided for in the
annex to this Order.
Fees for business incorporation and
registration shall be paid at the head office
of the Registrar General, delegated offices,
banks and other recognized financial
institutions in accordance with payment
systems used in Rwanda.
Article 3: Repealing of inconsistent
provisions
All prior provisions contrary to this Order
are hereby repealed.
Article 4 : Commencement
This Order shall come into force on the
date of its publication in the Official
Gazette of the Republic of Rwanda.

et frais à payer
Les frais d’enregistrement des activités
commerciales des sociétés sont en annexe
du présent arrêté.
Les frais d’enregistrement d’activités
commerciales des sociétés sont payés au
siège de l’Office du Registraire Général, à
ses bureaux décentralisés et aux banques et
institutions financières agréées selon les
moyens de paiement admis au Rwanda.
Article 3 : Disposition abrogatoire
Toutes les dispositions antérieures
contraires au présent arrêté sont abrogées.
Article 4 : Entrée en vigueur
Le présent arrêté entre en vigueur le jour
de sa publication au Journal Officiel de la
République du Rwanda.
